1. Introduction

Welcome to MeraCXO (meracxo.vedatricks.com), an AI-powered CXO advisory platform operated by Vedatricks ("Company", "we", "us", or "our"). MeraCXO stands for "Management Expertise & Resourceful Advisory" and provides AI-generated business consultations for Micro, Small and Medium Enterprises (MSMEs) in India.

By accessing or using our platform, you agree to be bound by these Terms & Conditions. If you do not agree, please do not use the platform.

2. Definitions

• "Platform" refers to the MeraCXO website and all associated services.
• "User" or "You" refers to any individual or entity using the Platform.
• "Credits" refers to the virtual currency used to access consultations on the Platform.
• "Consultation" refers to an AI-generated advisory response from one of our virtual CXO advisors.
• "Board Meeting" refers to a multi-advisor consultation involving multiple virtual CXO advisors.

3. Eligibility

You must be at least 18 years of age and legally capable of entering into binding contracts under Indian law to use this Platform. By registering, you represent that you meet these requirements.

4. Account Registration

• You must provide accurate, current, and complete information during registration.
• You are responsible for maintaining the confidentiality of your account credentials.
• You are responsible for all activities that occur under your account.
• You must notify us immediately of any unauthorized use of your account.
• We reserve the right to suspend or terminate accounts that violate these terms.

5. Services Provided

MeraCXO provides AI-powered business advisory services through virtual CXO advisors including but not limited to:

• Virtual CEO, CFO, CMO, CTO, CHRO, COO, Legal Advisor, Strategy Advisor, and Sales Advisor consultations
• Individual consultations (1 credit per consultation)
• Board meetings with multiple advisors (3 credits base + 2 per additional CXO beyond 5)
• PDF report generation of consultation results

6. Subscriptions, Credits & Pricing

6.1 Subscription Packs

• Deep Advisor: INR 999 + 18% GST per 45-day cycle. Includes 3 Deep Reports + Unlimited Quick Advice.
• Board Advisory: INR 2,599 + 18% GST per 45-day cycle. Includes 2 Board Reports + Unlimited Quick Advice.
• Subscriptions may auto-renew at the end of each 45-day cycle. Auto-renewal can be disabled anytime from the Plans page.
• Unused reports do not carry over to the next cycle.

6.2 Credits (Legacy)

• New users receive 3 complimentary credits upon registration for Quick Advice sessions.
• Additional credits can be purchased through the Platform via Razorpay.
• Credit plans: Starter (10 credits - INR 79), Popular (25 credits - INR 179), Pro (60 credits - INR 399).
• Credits are non-transferable between accounts and do not expire.

6.3 IdeaForge

• IdeaForge is a one-time INR 699 + 18% GST purchase for a 6-page AI-generated business plan.
• No account is required to purchase. Guest buyers must provide email or mobile number.

All prices are in INR. 18% GST is applicable on all transactions.

7. Payments

• All payments are processed securely through Razorpay, a RBI-authorized payment gateway.
• We accept UPI, credit cards, debit cards, net banking, and digital wallets.
• Payment confirmation is sent via email upon successful transaction.
• Credits are added to your account immediately upon successful payment verification.
• We do not store your payment card details on our servers.

9. User Obligations

You agree not to:

• Use the Platform for any unlawful purpose or in violation of any applicable laws.
• Attempt to gain unauthorized access to our systems or other users' accounts.
• Use automated tools (bots, scrapers) to access the Platform without our consent.
• Redistribute, resell, or commercially exploit the AI-generated advisory content without permission.
• Upload malicious content or attempt to compromise the Platform's security.
• Misrepresent your identity or business details during registration.

10. Intellectual Property

• The MeraCXO brand, logo, design, and platform code are the intellectual property of Vedatricks.
• AI-generated consultation responses are provided for your personal or business use only.
• You may not reproduce, distribute, or create derivative works from our Platform content without written permission.
• You retain ownership of any business data or information you provide to the Platform.

11. Limitation of Liability

To the maximum extent permitted by Indian law:

• MeraCXO and Vedatricks shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform.
• Our total liability shall not exceed the amount you paid for credits in the preceding 12 months.
• We are not liable for any business losses, lost profits, or damages resulting from actions taken based on AI advisory content.
• We do not guarantee uninterrupted, error-free, or secure access to the Platform.

12. Termination

• You may close your account at any time by contacting us.
• We may suspend or terminate your account if you violate these terms.
• Upon termination, unused credits may be forfeited unless a refund is applicable per our Refund Policy.
• Sections relating to intellectual property, limitation of liability, and governing law survive termination.

13. Modifications

We reserve the right to update these Terms & Conditions at any time. Changes will be posted on this page with an updated "Last updated" date. Continued use of the Platform after changes constitutes acceptance of the revised terms.

14. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in New Delhi, India.
